Acceptance of terms

Dayleeds is operated by Dayleeds LLC, 2010 S Rouse Street, Pittsburg, Kansas. By creating an account or using Dayleeds, you agree to these terms. If you do not agree, do not use the service.

Your signed agreement controls

Paid pilots and subscriptions are governed by the customer's signed Dayleeds Pilot and Subscription Agreement, the order form or plan election signed under it, and any signed Data Processing Addendum. If anything in these public terms conflicts with those signed documents, the signed documents control. These terms apply where no signed agreement covers the subject.

The service

Dayleeds is an analytics service that reads customer-authorized, synced HubSpot sales activity and organizes it into follow-up signals, engagement analytics, activity coverage, and coaching views. Dayleeds does not modify your HubSpot CRM records as part of analytics. What the service processes, and what it deliberately does not, is set out in the Privacy Policy and the Data Processing summary.

Eligibility and authority

You must be able to form a binding agreement and be authorized to connect and analyze the HubSpot data you bring to Dayleeds. You are responsible for having the rights, permissions, notices, and lawful bases needed to connect that data.

Your account

You are responsible for activity under your account and for keeping your credentials secure. Authentication is handled through our authentication provider, listed on the Subprocessors page.

HubSpot integration

You authorize the HubSpot connection yourself and can revoke it at any time. Access is read-only and is used to produce your analytics. Dayleeds is an independent product and is not affiliated with, endorsed by, or sponsored by HubSpot, Inc.

Your data

You retain ownership of your data. You grant Dayleeds the limited permissions needed to host, process, and display it in order to provide, secure, support, and administer the service, as described in our Privacy Policy. Dayleeds does not sell customer data, does not share it for cross-context behavioral advertising, and does not use it to train general-purpose or third-party AI models.

Do not submit protected health information, student education records, government identifiers, payment card data, biometric identifiers, call recordings or transcripts, or other highly sensitive regulated data unless we have first signed a written amendment covering it. Subject lines and other free-text fields sync as written, so keep sensitive detail out of them.

Acceptable use

Use Dayleeds for your own legitimate sales workflow. You agree not to:

• scrape, resell, or abuse the service;
• reverse engineer or attempt to access non-public parts of the service, except to the limited extent that restriction is prohibited by law;
• attack, disrupt, or attempt to gain unauthorized access to the service or other accounts;
• use the service to build a competing product;
• use the service to send spam or for unlawful purposes.

Confidentiality

Each party will protect the other's nonpublic information with at least reasonable care, use it only as needed under these terms or a signed agreement, and limit access to people bound by confidentiality duties.

Plans and billing

Current pilot and subscription pricing is published on our Pricing page. A paid pilot does not convert automatically: continuing after a pilot requires a deliberate plan selection. Fees, renewal, cancellation, refund eligibility, and the pilot value guarantee are governed by the customer's signed agreement and the plan elected under it. Payments are processed by our payment processor.

Availability and changes

We aim to keep Dayleeds available and may change or improve features as the product develops. We may update these terms, and material changes will be reflected here. Where a signed agreement sets commitments about service changes during a paid term, that agreement controls.

Suspension

We may suspend access to address a credible security threat, unlawful use, or a material violation of these terms. We will use reasonable efforts to give notice and to limit the scope and duration of a suspension.

Disclaimers

Dayleeds is provided on an as-is and as-available basis. We do not warrant that the service will be uninterrupted or error-free, or that analytics will be complete or accurate for every use. Analytics depend on your HubSpot data, your configuration, and third-party services. Dayleeds does not provide legal, tax, employment, or financial advice.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data. Except as stated below, each party's total aggregate liability arising out of or related to the service will not exceed the fees paid or payable during the 12 months before the event first giving rise to liability. This cap does not apply to your payment obligations, to a party's fraud, willful misconduct, or gross negligence, to breach of confidentiality obligations, to violation of Dayleeds's intellectual property rights, or to liabilities that cannot lawfully be limited. A signed agreement may set out its own exclusions, and where it does, it controls.

Termination

You may stop using Dayleeds at any time. To disconnect HubSpot, revoke access in HubSpot under Connected Apps, which stops future syncing, or use Disconnect and delete HubSpot data in Settings to also delete the data already synced. We may suspend or terminate access for violations of these terms or to protect the service. Retention after termination is described in the Privacy Policy. Terms that by their nature should survive will survive, including payment obligations, confidentiality, ownership, disclaimers, and liability limits.

Governing law

Kansas law governs these terms, without regard to conflict-of-laws rules. Where a signed agreement specifies a forum, that agreement controls.
